I have passed Disney's ROFR yesterday for BW 160 points Feb UY $57 with seller paying MF and buyer paying closing. All 12 & 13 points. Yipee!

What are the chances that it can fall thru? Can the buyer still back out?

Congrats on your sale. The chances of the sale falling through are slim. The buyer could technically back out, but I'm not sure why they would want to. Also, doing so would break the contract and they would lose their deposit, half of which you would get to keep. Unless you have information that indicates otherwise, I would not worry about your buyer backing out. Good luck on a quick closing.
