Hello, Cindala! I have also heard of people who are getting heavenly beds without the room renovation... That makes sense, what you say, since they would have to have a plan for making these changes! Perhaps, that way they can satisfy the most number of people! You either get heavenly bed or updated decor until you can have both! I stayed on the 8th floor of the Dolphin in October and had both! I just LOVE those resorts!

Stalking a Wily Prey at Disney
By shooting for CEO Michael Eisner, Disney ex-board members Stan Gold and Roy Disney are taking on a crafty player who has lots of allies

It seems like déjà vu all over again, in the words of Yogi Berra. Just as he did in 1984, Roy E. Disney, whose Uncle Walt started the fabled company that bears his name, has resigned from the Walt Disney's (DIS ) board and called for a change in leadership. Roy Disney's Nov. 30 departure was followed the next day by the resignation of his financial adviser, Stanley P. Gold, who was equally scathing in his attack on Disney management following his departure.

Back in 1984, Roy Disney and Gold launched a takeover battle to win control of the company, which they did with the help of the Bass family of Fort Worth, Tex. The difference is that now the two are trying to unseat CEO Michael Eisner, the very man they brought in to straighten out the Mouse House in 1984. Gold, who masterminded the takeover effort, considers Eisner just as ineffective a leader as the folks he succeeded. "[Under Eisner] you have a lack of leadership, assets that continue to underperform, a loss of creative abilities, and ineffective management," Gold told BusinessWeek Online.

BAD TIMING. How Gold intends to give Eisner the boot is still a little unclear. He says he'll make the rounds to institutional investors to stir them up -- something he couldn't do while a board member. "There's a sense of anger among the shareholders and the employees of this company who have watched this great company run into the ground," says Gold. Within hours submitting his resignation, Gold says he received more than 100 e-mails from Disney employees. "They all say 'we're with you. Go get him,'" says Gold. As for large shareholders, Gold isn't disclosing whether any have responded to his call for Eisner's departure.

The uprising against Eisner, Gold wrote in his resignation letter, has been building for the last three years, but Gold's attempt to force change from within "has only succeeded in creating an insular board of directors serving as a bulwark to shield management from criticism and accountability." The final straw, says Gold, came when the board refused Roy Disney's request to stay on after his 72nd birthday. While board rules have an age limit of 72 for directors, it's less clear whether corporate governance regulations allows the board to waive the requirement for "nonmanagement directors," including Roy Disney, who currently heads the animation unit.

The entertainment giant issued a statement from its independent board members that Gold had misrepresented the age guidelines and that "Mr. Gold and Mr. Disney voted in favor of the very retirement rules to which they now object and which apply to 'all directors.'"

LOST IT? This very public spat couldn't come at a worse time for Disney, which looks to be in the early stages of recovering from its seven-year slump (see BW Online, 11/30/03, "Renovating This Old Mouse"). In late November, it reported a 3% hike in net income, to $1.7 billion, on revenues of $27.1 billion. That still leaves earnings at roughly 1998 levels. The stock is trading at around $23 -- up by 43% this year but well below levels of five years back. Worse, Disney seems to have lost its long-held edge in animation, with its best such flicks coming from Steve Jobs's Pixar Animation Studios (PIXR ). And in TV-land, Disney's ABC network is still in a ratings funk.

"Frankly, I don't think Michael has it anymore," says Gold. "We haven't had a new ride at our theme park in years that [Disney didn't copy], he isn't putting anything on the ABC Family Channel that people want to see, and creative people don't want to work for him anymore." Gold continues: "Look, he has been here 20 years, and he just ran out of gas."

Still, even Gold knows it won't be easy to dislodge Eisner. The Disney CEO and chairman has proved to be an adept political infighter. Moreover, Eisner seems to have the allegiance of the board's independent members, including the governance and nominating committee, which decided that Roy Disney should go when he hit 72. So far no major shareholders have publicly jumped into the fight along with Gold and Disney. Indeed, as long as the stock moves upward, shareholders may not want to shuffle management, according to one investor who asked to remain anonymous.

LOW MARKS. Gold's and Disney's complaint isn't solely about corporate performance. They're also asking whether it's right or fair to shareholders for a CEO to have as much sway over a board as Eisner does. "He calls the shots," says Gold, who complains in his letter that he was stripped of his independent board status -- and deprived of chairmanship of the key governance committee -- because he provided financial counsel to Roy Disney, who was a company executive. He points out that the committee's new head, SCE Corp. Chairman John Bryson, is married to a top official at the Lifetime Entertainment cable channel, which is 50%-owned by Disney.

Gold says Eisner "buys off board members with all kinds of things, like tickets to the World Series or to the Super Bowl or to movie premieres." Eisner and Disney declined comment on Gold's allegations of board-member influence. While the level of Eisner's sway may be hard to prove, the board clearly isn't getting high marks from corporate-governance experts. Even bringing on noted governance guru Ira Millstein as special counsel hasn't helped, say experts.

For instance, Bryson "isn't independent in my book," says Patrick McGurn, special counsel to Rockville (Md).-based Institutional Shareholder Services, which advises investors on corporate-governance issues. McGurn also questions the independence of former Maine Senator George Mitchell, whose law firm used to do work for Disney. (The firm severed its ties with Disney prior to Mitchell's becoming the board's presiding director.)

"RAT'S NEST." Gold and Roy Disney clearly intend to make the board's independence a key issue in their fight to unseat Eisner. Gold says he favors splitting the chairmanship job from that of CEO, but he doesn't want Eisner in either job. The University of Delaware's Charles Elson, another leading corporate-governance expert, would go even further. "That board is such a rat's nest of conflicts that the only thing to do is to clean the whole thing out. Let it start all over again."

Such words are likely to strengthen the resolve of Disney's former board members.

Thanks for the information. So you had both a renovated room and a heavenly bed on the 8th floor? Maybe I should reword my requests on my ressie to state that I would prefer both. Our friend who went said she never slept better in her life than on those heavenly beds!:teeth:

I am off to a hockey tournament where there are no sheratons or westins to be found.... to sleep in a motel8 bed with 10 year olds running amuck in the hallways. I envy everyone going to the S/D who can sleep on a heavenly bed! I will be throwing my down pillows in the backseat of the explorer. I tried to throw my downblanket on the suitcase pile, but it was rejected by DH as being excessive baggage. LOL

Deb, you just remind your DH when he is rolling over and punching the pillow that he could have had his "excess baggage" along to make the bed more "heavenly"!:headache:

Just got home from our 2ndChristmas concert of the season! (1st was DD9's School choral performance!) What a wonderful time! Even DD15 said she was shocked that she enjoyed it! Some of the performers were quite conversant about her favorite band (Good Charlotte) and she was even more pleased! DD9 just wanted her picture taken with the harpists and the soprano, Irene Lumpkin! Afterwards, we all got to enjoy punch, coffee, and assorted hors douevres while visiting with the performers. DD2 was a good little trooper until she bit her finger in the middle of the harp solo!:blush: I hope it sounded like a scream of joy during that beautiful piece...:scared:
 
TGIF!!~Two more kittens have found a loving home. Now...only two remain. Doing great here at "feline rescue 101"...:sunny:

Jgates~I thought those rates were astounding when the RP first opened, but knew they would not last. YET...I NEVER dreamed they would take such a HIKE! I paid that the first times I stayed at the PBH...for a standard Bay room. The PBH is considered the top property, with the HRH in the middle, and the RPH the most affordable. Welll...cough, cough. Where did the AFFORDABILITY part go? You may as well stay at the PBH for that price! I know they do not participate in the Gov. discounts. Did you ask about the FAN CLUB rate? Sometimes, I've read it can be better than the AP. When you call...ask, and also ask for the BEST, LOWEST rate they have.

I probably pay too much for the PBH, as we stay in a top floor Portofino suite (w/no discounts...like the CR top floor). But, if you make the ressie, and pay for one eve (to hold it), then watch for the "specials", you should be okay by July. There are bound to be some reduced rates and specials (sometimes posted by Mastercard, or the Chase Universal Card member page (If you do not have this card...get it!), or on the U.S. Orlando web page. I've seen an offer for two paid eves, with the third eve FREE. Are you a Loews member (like SPG)? There are LOTS of specials available, but they are usually not released until the NEW YEAR.

So...don't panic. You should be fine. If I see/read/hear ANYTHING...I'll let you know asap. I'm planning another 5 eves in the suite, and LOVE the FOL access too. Just hang-in-there. Everything will work-out...it always does. ::yes::

*Annual passholders can stay at the Disneyland Paradise Pier Hotel for only $59.00 per eve!! Now...that may be TOO good to pass on!! It's good through March, 2004. One more reason to be happy we bought annual passes here. :hyper:

:wave2: Good morning, all. Snowing here in beantown with the major accumulation to come late this afternoon into tonight and tomorrow. DS(18) works weekends at Stop and Shop grocery store so DH cleaned off the 4Runner and is driving him to work. DS(20) came home from college last night and will head back Sunday night after watching the Patriots. So, my little family are all home and we will be snug as bugs in a rug waiting out the storm ---- time to get out the Christmas decorations!

DF~ good work on placing those darling felines in good homes. Too bad we live on opposite coasts, my aunt's beloved cat of 17 years passed away and she now wants to adopt a kitten. She has a couple of leads from our local animal shelters.

Disbug~ The concert sounded like fun.

My school's annual Christmas pageant is on the 16th. The kids have been rehearsing and are very excited as we are doing something new this year. It is a playlet about the birth of Jesus and each class has been assigned an animal or birds or ladybugs or butterflies that have a song they sing to the baby Jesus. The parents of each grade have been so wonderful in coordinating the costumes. Ahhh...it's the most wonderful time of the year *singing*!
 
Thanks DF - I just may book that anyway then. It is just such a barrier in my mind!!! Like I said - even if I paid the $179 in Nashville it would be feeding two bottomless pits plus the other two of us so it compensates food cost!! (I am going to cancel the Loews there though- that SpringHill at $69 is just TOOO much of a bargain. And only 7 minutes and one I exit from the stadium- I don't know how I could do much better without sleeping in the parking lot! - I'm getting both nites for the price of one Loews).

I am a Loews member. I signed up (on your recommendation of course!) a few months ago. It was strange because the gal at Nashville could NOT get my number to come up. I called Loews afterwards and it popped right up for them.

I need help on how to do the 'Fan Club' though. I saw it mentioned on the Universal Resort board but in my searching I must have missed where you contact to get a card. Is there an on-line site?

And as far as the Chase Universal Site - I have the i-Card from Chase so is this is the card from Universal Studios right? I kind of hate to get another credit card, but do they have offers specific for Universal? Maybe I could apply and request a really LOW limit - I could charge 4 years of college on our limits right now I think! Also - what is link to u.s. orlando - I'm not finding it?

We are digging out from LOTS OF SNOW!!! Wow - haven't seen anything like this storm for many years. The snow drifts and plow marks are high. It is a winter wonderland in my neighborhood.

Yes Mouseteacher, LOTS OF SNOW here too! I know Boston was hit harder than Ct. We do have about a foot of snow and it is still coming down. I did not venture out at all yesterday and won't today either. It certainly looks a lot like Christmas!!

:wave2: Hi, Muffy. I didn't venture out yesterday either nor today. We have 19 inches and about 2-4 inches more predicted for this morning to afternoon. We'll settle in and watch the Pats on TV play the Dolphins.

Wondering if there will be school tomorrow? My school's community received 22" - it is located on the North Shore of Boston on the ocean. Can they dig out sidewalks in time for school? Hmmmm...will probably know late tonight.

How is the weather in WDW? Wishing I were at the Swan/Dolphin right now. :sunny:

Back from Indiana. So hard to say good bye forever to a dear friend. Keep sending the pd and prayers to my best friend's family. We were their matron of honor and best man in 1975. Just give your dh or dw a hug each day.

Now that I am home, I would like to have some of your snow. Could use a couple days snuggled up at home. I love snow.

Jgates - Have you tried The Entertainment rate at Universal hotels? We used that last year for 50% off. Got Hard Rock for $125. They had a nice pool, but next time I would stay at PBH. I was not that impressed. Service was mediocre, at best. Club Level wasn't even close to the Swan. They took packaged cookies and dumped them in a bowl in the evening. Kids were picking through the bowl, and you could buy Oreos on the corner and keep them in your room, much cheaper. Not a great breakfast either. Sorry, off original topic. Anyway, you have to stay on property for FOL access........so worth it. There is someone on the Universal board that has extra Fan Club cards, and will send one to you, for the fan club rate too. Can't remember her name. Just go there and post for it, and I am sure she will respond, if she still frequents the board. I think the fan club card is something businesses have available for employees. (much like the old disney card I could get through school)

Am so missing our journey to Disney at Christmas. It is the neatest time of year to go. So beautiful. Keep thinking of all we did last year, preparing to spend Christmas there. It is a special time of year, no matter where you are.

Hi ozziewags- sorry about your friend - I forgot to say that the other night. My only consolation in thinking about things like that is it is nice to say goodbye - with an auto-accident etc you don't get that chance.

Believe it or not, that $179 or whatever it was IS the Entertainment Rate. That is what is frustrating me so much. I would even (grudgingly) pay $129 per nite, but geez - $179 - & that is NOT club level. (Although if I can work on getting an upgrade on my Loews card I could maybe work on that. It bothers me because (don't have this years book yet) the last Ent Book we had listed Universal at 50% off. At the time I booked it was - now if the rates displayed on the net are $229, shouldn't Ent Rate be about $115?

I really want that FOL access so staying on site is crucial at Universal. At least at the Swan we can get back to the room quickly & easily. (Specially since MGM is my fav park & I think we spend more time there & at Epcot than the MK.) The extreme heat & humidity send my blood sugar up and down on a whim and I get VERY sick waiting in lines in the heat. That was what made FOL a miracle for me at Universal. At Dis a quick rest & a/c room is only 10 minutes away. Our last trip after we played mini-golf one morning, I walked back to Swan - the heat hit me so hard I passed out for about 3 hours and took a nap - luckily DS was there and played another round with DD. This trip with just DD (will be 11) and I for all but 4 days, I want no chances that the heat sends me off into never-never-land. However, my reaction to the heat is nothing that is enough to get a Dr. slip I'm sure for FOL. I would be embarrassed to even ask.

*jumping up and down... STILL!*

WE DID IT! Flint Jackals rule the ice! We drove three hours to the west side of the state... and kicked some ICE! Yes, our team finally not only made it into the final round.. but WON! We won 4-3 in overtime after coming back in the second to tie it up, then get the go ahead goal. In the third period the sabres came back and tied it up, taking us into OT. Oh man, did our kids (and the other team) play their little hearts out! Four games in two and a half days.... and the final two teams standing were both from Flint!

To keep this on topic..... Motel8 beds DO NOT sleep well, but they were very gracious and our kids were wonderfully behaved at their establishment, including the pool. but..... I want a heavenly bed! (ok, that wasn't really on topic... I tried! I am just so happy I wanted to share with all of you!)

J - don't second guess yourself but check at guest services about the guest assistance pass. Don't worry they won't give you more than your are entitled to. My sil has MS but is still very well, she can't however regulate her body temperature. She brought a dr's note and we just checked at guest services. They gave us what I thought was a very reasonable approach and the perfect GAC card for her. Whenever we could we got a FP or were allowed to wait in a cool area. We were not looking for FOTL, or to skip lines at WDW (although we LOVED it at IOA) but just a way to enjoy the parks without getting SIL sick.

So it dosen't hurt to take the Dr's note and check to see what is available and appropriate for you. Most of us don't begrudge you utilizing the services WDW provides to make your trip comfortable, enjoyable and SAFE for you and your family.

I have the new Ent. Book for Orlando, and the Loews props are all listed in there! You may need to call again, and ask for the Ent. Rate, which is 50% off the listed "rack rate" of the room.

AS for the FAN CLUB card, there is a wonderful woman on the Universal board (as OZZIE wrote), whom will send you a new FAN CLUB card. She sent one to me, and it does not expire. It's good for lots of discounts, as is AAA (10% off every purchase in the park).

Let me know if there is anything else I can do to help you. I'm sure you will be able to get that resort for close to the same rate you did last year. ^_^ Keep smiling, and thinking positive thoughts!

I wish we had snow! We have had a tiny sprinkling of rain, and some (mild) wind. But...without the white fluff. Darn....send some my way. I LOVE snow!

TTFN all. Got out the Christmas decorations this afternoon. The formal tree is UP, but not decorated (yet). ^_^ So much to do...and so little time. Christmas always seems to come too close to thanksgiving. I have to remember to save a few gifts for Dec. 6, (Epiphany), which we like to celebrate as well! I have to make Tamales this week, Christmas cookies and WRAP! We are traveling next weekend, and the following too. So, this is my last weekend at home before Christmas.

I am home --No school today due to the Nor'easter snowstorm - the snow banks are HUGE so getting the children to school safely is not doable. No school tomorrow either!!!! Just got the call while DISing!!!

I was out Christmas shopping this morning. I was at the mall when it opened and it was very quiet. Guess people are still digging out - the storm gives new meaning to "Big Dig"!!! :teeth:
