I assume it to be Right Of First Refusal (which Disney has on all resales).

DVC (or DVD) reviews all resale contracts before they close. If they deem the price too low or for whatever reason they would like to buy it, they can exercise ROFR and become the buyer at the same terms as in the contract. The seller gets the same deal either way. The original buyer would be out of the deal. It has been reported that sometimes DVC will allow the buyer to make a higher bid and submit it for ROFR review again.
