Weve had some recent discussion about executive compensation (bonus and options) and it is interesting to see two shareholder proposals in this years proxy statement on this topic. They make a fun read.
(#3) One asks for a study to be performed and potential overhaul of the process
(#4) The other wants stricter performance criteria for options
I have no expectation that either of these will get many votes. Not so long ago there was a shareholder proposal to split the audit and consulting roles. It was overwhelmingly shot down, because management initially recommended against it. When Enron subsequently came out they quickly changed their minds, but the institutions voted as initially recommended. At the Annual Meeting Eisner had to announce they were doing it anyway. Shows just how effective shareholders are at shaping policy.
It will probably only get 5% of the votes. Well, make that 5.0001%.
