Well, Eisner basically blamed the vote on shareholders dissatisfaction with the governance set up (thus the break up of the CEO and Chairman jobs) and the rhetoric from Disney and Gold much of which is untrue according to him. He said that things are going well; the movies are doing well, the Disney channel has never been better, ESPN is blazing, everyone is happy with the parks, etc., etc...
So if I understand his reasoning, anyone who is unhappy with Eisner has been led down this path by Eisner's enemies.
