OK - I just put an offer in on 240 OKW points with a Dec. UY.

This is what the contract has.
254 - 2012 points (240 for 2012 and 14 banked from 2011)
240 - 2013 points
240 - 2014 points

We are going on a trip April 2014 and will need 398 points. Our sale should close in 60 days if Disney does not pull a ROFR on us.

I want to make sure I have this worked out right.

Once I have the points I will bank the 2012 points which must be done by 7/31/13 (can't bank the 14 - 2011 points). Once I get my final paperwork in about July I will use my banked 2012 points and 158 - 2013 points to book our trip for April 2014.

That will leave me with 82 - 2013 points and 240 2014 points which I can use to book a trip in April 2015.

DO I HAVE THIS RIGHT. I DON'T WANT TO MESS IT UP AND LOSE POINTS.

Sounds about right, but I would only bank the points you need to book the trip right away. Wait to bank the others until the last minute. You have those 14 banked 2011 points that will expire at the end of November. You never know--you may want to sneak in a trip before April 2014. In my experience it is better to hold off banking until the last minute because banking is final transaction.
