For those who are wondering who they are.

They are recommending a no vote on Eisner.

Institutional Shareholder Services, Inc. (ISS) is the world's leading provider of proxy voting and corporate governance services. ISS serves more than 950 institutional and corporate clients worldwide with its core business — analyzing proxies and issuing informed research and objective vote recommendations for more than 10,000 U.S. and 12,000 non-U.S. shareholder meetings each year.

ISS's core businesses include global proxy services and database and research tools for institutional investors. With more than 15 years of experience and a respected team of domestic and international research analysts, ISS is considered to be the world’s authority on proxy issues and corporate governance. Our research and proxy voting policies are designed on the premise that good corporate governance ultimately results in increased shareholder value.

In the institutional market, ISS has also developed core competencies in the areas of:

Taft-Hartley Research and Voting
Social Investment Research and Voting
Social Investment Portfolio Screening
Global Proxy Distribution
Securities Class Action Services
Completely separate from its institutional business, ISS also serves the corporate market with a variety of governance web-based tools, that can assist corporate issuers with executive and director compensation modeling, capital structure planning and understanding corporate governance best practices. ISS completely separates its institutional and corporate services in order to maintain the highest level of objectivity in its research and integrity in its voting recommendations.

Good corporate governance is the foundation of a solid, well-run corporation. While independent directors bear much of the responsibility to ensure good corporate governance, shareholders also play a critical role in the governance process. As the largest shareholders, institutional investors monitor the performance of both management and the board of directors. ISS’s services are designed to assist institutional investors and corporations in meeting their governance responsibilities. How they perform these duties has never been more important.

Here's an article with a lot of speculation about what Comcast and others may or may not do. I post it here because near the end it quotes a mutual fund manager who is voting against Eisner.
