Proxy? Proxy Anyone?

Well, I am back - I tend to post alot before and after my yearly visits. I read the Annual Meeting Notice today. Points and questions from the uneducated:

I asked others on the board and they told me "Jim Lewis is a good guy - and doing alot for us!". While I believe that, as a contractor I worked with WDW and would rather have my vote in the hands of a fellow member rather then DVD.

Question: Can I proxy my vote to someone? And, how does this work?

I will not attend. Thus, I would feel more comfortable with another member having proxy powers over my 150 BCV voting shares. To get my votes, I may want to understand the questions/concerns you have and then discuss my questions/concerns (though they are extremely minor).

I have no idea on other members thoughts - but I do believe that we need to put our precious votes in the hands of fellow DVC members.

Members have no vote in any DVC board decisions - either in person or by proxy. Each unit (your ownership is described in terms of a % of a "unit" at the resort) is represented by an authorized voting representative- which is DVD (Disney Vacation Development).

The resolutions presented in the official notice sent to each owner will be voted on by that "representative" and the notice states that "DVD has reviewed the resolutions proposed in the Notice and considers them to be appropriate for approval. Consequently, DVD intends to cast your Unit's vote to approve each of the resolutions described in the Notice at the Members Annual Meeting. If you have any questions, please call Christine Joyner at 407-566-32778."

Member/Owners present at these meetings comprise an audience, but have no official role in the meeting at all. During the "social" part of the event, there will be allowance for questions/comments from those in attendance, but the business meeting will already have concluded. In the notice sent, it mentions that the business meeting is expected to take 5 minutes. As long as DVD/DVC is the management for the resorts, there is no provision for any true participation from members in making policy decisions.

Also I think there is something in there about any attempt to rid DVC of these responsibilities gives DVC the right to remove the resort from the DVC family. In other words it becomes a regular timeshare with no affiliation to DVC.

Yes, there is provision for the owners to vote to replace DVC as manager of the resort. In doing so, the new management would lose access to all DVC programs, would not have access to trade into other DVC resorts and would have to negotiate for all services provided (housekeeping, landscaping, maintenance- plus they would lose access to Disney transportation unless they could negotiate their own contract with Disney). No more onsite dining discounts, AP discounts, Key-to-the-World cards, golf discounts, water park discounts, ME, etc. - unless the new managers can get those things from Disney. I'd think those negotiations might be a challenge.
