Financial people-- what does this mean?

XXXXXXX CO Files SEC form 8-K/A, Entry into a Material Definitive Agreement, Financial Statements and Exhibits


Our division of this Co is up for sale. This was on the internet this morning and I am not sure what the above means?

Technically, it's a filing required whenever a company enters into an agreement that stockholders should know about. If you know your division is for sale, it could be that the agreement in question is a sales agreement of the division, but there are a number of other agreements (outside of the course of business) that could have triggered this filing. The only way to know is to wait for an announcement to stockholders, assuming you can't get a hold of the actual 8-K.

Adding one thing -- I looked up my company, and the last 8-K they filed for a Material Definitive Agreement was for the issuance of stock options to our executives under their bonus agreements, so there are a number of innocuous reasons for issuing an 8-K Form.

That is where I found it in the first place. I should have paid more attention in Finance in college. because I didn't understand what it was actually saying.
