Boardwalk is located VERY near Epcot (5 minute stroll from Epcot's "rear entrance" the International Gateway, located between UK and France pavillions).
You can get to Boardwalk from Downtown Disney or any theme-park by bus, or (from MGM or Epcot) by the Friendship boats.
Boardwalk is right across the lake (and reachable by the Friendship boats) from the Yacht & Beach Club and the Swan and Dolphin Resorts.

DOWNTOWN DISNEY:
is a MUCH LARGER shopping and dining complex.
It is connected to Pleasure Island, the night-time entertainment complex, and the DtD "West Side", another distinct area of big-name restuarants and shopping.
The "Cirque du Soleil, La Nouba" theatre is here, as well.
There is the "world's largest" Disney merchandise store there, as well as many other shops and restaurants (McDonalds, among them)
There's even an interesting display of very large
LEGO sculptures.
