Whats the benefits of VIP tickets? For the date of December 6, I see

1-Day Park to Park VIP Ticket Non-Peak Adult 12/6/2010 :179.99

versus

$25.99 2-Park Express All Ages 12/6/2010
1-Day Park to Park Ticket Adult : 109.99

What does VIP tickets do that isn't available from the park to park ticket plus 2-park express pass?

The VIP tickets include unlimited Express access whereas the EP you buy is only good once per attraction. The VIP tickets are comparable to staying onsite since hotel guests get unlimited Express access.

Is it worth it? That's for you to decide but historically early December is not a busy time so you could skip the EP and still see everything you want to see. Harry Potter will bring in additional crowds but no one knows how that will affect the wait times for December.

Thanks. It definitely sounds like VIP is too much. We want to see most everything in both parks in one day (maybe skipping the water ride island), so we may still get the EP just to be sure we can see what we want.

Just plan on waiting until you arrive to see what the lines are like before spending the extra money.

I didn't realize i could buy it once I saw the lines... where in the parks do they sell the upgrade, or do I leave the park and then come back in?

Express Plus passes are sold throughout both parks so you don't need to exit and reenter. Look for the Express signs out front of the stores...you can't miss them.
