Making offer on DVC

Hopefully we'll be able to make an offer on DVC next week. (waiting for another property to close)
I talked to one of the resale brokers and I suggested that I might make an offer that might be more than listed price per point, but that I would not reimburse any MS fees. I thought this might get through ROFR easier. I was told DIsney looks at the whole package and that I should just offer less per point and not try to negotiate MS fees. However, I've talked to a couple different brokers (and read these boards) and it seem MS fees may be prorated differently - some do it on calendar year, some by points available, and some it seems it's all whatevers negotiated. Any thoughts here on my original plan? Any reason a seller would be discouraged from doing it that way (higher capital gains)?
 
Don't know if there are any tax benefits but just wanted to say we recently bought a contract that had only 64 pts. available for '04 so we only reimbursed the maintenance fees on those points.

Just do whatever you feel comfortable with. We actually had a great deal that didn't pass ROFR the first time and quickly counter-offered. The second time was a charm and we are now happy campers.
