Ok, I'm feeling a bit dense here but can someone please clarify a procedure for me so I get this right!

I have my paper proxy ballots in front of me - the options on Election of Directors are as follows:

For all

Withhold All

For all except and this is followed by a blank line and the statement "To withhold authority to vote for any individual nominee(s), mark for all excelt and write the nominee's number on the line.

That makes it sound like if I wanted to vote no for say oh....Eisner just as an example :rolleyes: I'd mark the last box and put his number on the line.

But when I looked in the instructions it sounds like if I do that it isn't a no vote but simply an abstain vote.

Help! I want to make sure if I am voting no it is counting as a no!

Hi Deb,

What you want to do is mark the box under where it states, "For all Except".

On the line next to that box, you write the numbers of the directors you do NOT want re-elected to the Board.

Roy Disney is recommending that you vote no on 3 (Michael Eisner), 1 (John Bryson), 4 (Judith Estrin) and 9 (George Mitchell).

That is what I thought (and from time to time I teach this sort of stuff so you'd THINK I could figure it out :rolleyes: ) but the information in the booklet that was there made it a bit confusing.
